SlipSeekers Terms of Service

1. Agreement and Scope

These Terms of Service ("Terms") govern your access to and use of SlipSeekers, including all matching tools, listing interfaces, vessel profiles, payment workflows, and related content. By creating an account, subscribing, or using the platform, you agree to be bound by these Terms and our Privacy Policy.

2. Service Description

SlipSeekers provides a subscription-based platform designed to connect vessel owners and moorage seekers with available slip opportunities. We may offer algorithmic compatibility indicators, filtering tools, and messaging utilities to facilitate introductions.

Important limitation: SlipSeekers is an informational and facilitation service and does not broker real estate, guarantee transaction completion, verify legal ownership, certify listing accuracy, or provide legal advice.

3. Eligibility and Accounts

• You must be at least 18 years old and legally capable of entering contracts.
• You agree to provide accurate account and vessel information and keep it current.
• You are responsible for safeguarding login credentials and all activities under your account.

4. Subscription, Billing, and Payment Processing

Access to premium SlipSeekers features may require paid subscriptions. Billing terms, prices, renewal intervals, and cancellation procedures are provided at checkout and within account settings.

Payments are processed by third-party PCI-compliant providers. SlipSeekers does not store complete payment card data. By subscribing, you authorize recurring charges as disclosed during purchase unless and until canceled in accordance with stated policies.

5. User Conduct and Prohibited Activities

You agree not to misuse the Service. Prohibited conduct includes:

• Submitting false, fraudulent, or misleading listing or vessel information.
• Attempting unauthorized access, scraping, or data extraction outside permitted APIs/functions.
• Interfering with security controls, infrastructure, or normal platform operation.
• Using the platform for unlawful discrimination, harassment, or illegal transactions.

6. Listing and Match Disclaimer

SlipSeekers does not warrant or guarantee the completeness, legality, quality, safety, availability, dimensions, pricing, or suitability of any moorage listing. Any compatibility score, ranking, or match signal is informational only and not a certification, appraisal, or guarantee.

You are solely responsible for conducting independent due diligence, inspections, contract review, and verification before entering any transaction.

7. Intellectual Property

All platform software, branding, design, compilation, analytics logic, and proprietary content are owned by SlipSeekers or its licensors and protected by intellectual property laws. Subject to these Terms, SlipSeekers grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal/internal business purposes.

8. Termination and Suspension

We may suspend or terminate access, with or without notice, if we reasonably believe you violated these Terms, created legal risk, abused the platform, or engaged in fraudulent behavior. Upon termination, provisions that by nature should survive (including liability limitations and dispute provisions) remain in effect.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

10. Limitation of Liability

To the maximum extent permitted by law, SlipSeekers and its officers, directors, employees, affiliates, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, or transaction failures related to use of or inability to use the Service.

Where permitted by law, SlipSeekers' aggregate liability arising out of or related to the Service will not exceed the amounts you paid to SlipSeekers in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless SlipSeekers from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, submitted content, violation of law, or breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. You agree that disputes will be resolved in the state or federal courts located in Florida, unless otherwise required by applicable law.

13. Updates to Terms

SlipSeekers may modify these Terms from time to time. Revised Terms become effective when posted. Continued use after updates constitutes acceptance of the revised Terms.
